Hero FinCorp IPO: Status, Financials, Valuation and Should You Apply?

Introduction

Hero FinCorp is the lending arm of the Hero group. People know the name from two-wheeler loans. Many investors now ask when the IPO will open.

The short answer is that it has not opened. It has been stuck for a long time. Here is the full picture.

Hero FinCorp Company Profile

The company dates back to 1991. It was earlier called Hero Honda FinLease. It is an NBFC. It lends to retail and small business customers.

Its AUM has crossed ₹56,000 crore. It serves over 13 million customers and covers 90% of India’s pin codes. Abhimanyu Munjal is the MD and CEO.

Why do sizes differ? Pre-IPO placements shrink the fresh issue. One site shows ₹3,358 crore, so the final number may differ again. Wait for the red herring prospectus.

Business Model

Hero FinCorp earns the gap between what it pays to borrow and what it charges to lend. It also earns fees and insurance commissions.

Its loans cover personal, business, two-wheeler, car, property and home needs. The target customer is the “Aspiring India” borrower, mostly first-time or small-ticket.

Financial Analysis

Metric (consolidated)FY25FY26
Revenue from operations₹9,833 cr₹9,583 cr
Profit before tax₹256 cr₹-101 cr
Net profit₹110 cr₹-226 cr

Revenue fell about 2.5%. Profit turned into a loss. Compare that with FY24, when net profit was ₹637 crore. That is a big fall in two years.

The loan book also shrank. Advances dropped to ₹44,753 crore in 9M FY26 from ₹47,544 crore a year earlier.

Why the Profit Fell

Bad loans hurt. About 40% of the loan book was once unsecured credit. The company also wrote off nearly ₹1,200 crore of bad loans before the IPO. Credit costs are eating into profit while operations stay stable.

Management has reset its risk approach. The results will show if that works. FY26 does not show it yet.

Valuation Analysis

No price band exists, so no official valuation exists. Unlisted-market quotes are not reliable. They range from about ₹910 to ₹1,400 across sites. A June 2025 pre-IPO placement reportedly priced shares at ₹1,400.

A loss-making NBFC is usually valued on book value, not earnings. Check the price-to-book number in the final prospectus. Compare it with listed peers.

Competitor Comparison

CompanyFY26 revenueStatus
Hero FinCorp₹9,583 crUnlisted
Mahindra Finance₹21,005 crListed
Shriram Finance₹48,133 crListed

One analysis says Bajaj, Chola and Shriram deliver far better returns and lower bad loans than Hero FinCorp. Hero is much smaller and weaker on profit.

Growth Drivers

  • Hero brand link: The group gives it a built-in customer base.
  • Tech spending: It spends 11–13% of revenue on technology.
  • Fresh capital: IPO money would strengthen its capital base for lending.
  • Underserved borrowers: Demand for small loans stays high.

Risks

  • Net loss: FY26 ended in a loss.
  • Asset quality: Unsecured loans and write-offs worry analysts.
  • Shrinking loan book: Growth has stalled.
  • Approval timing: The SEBI window may have lapsed or need renewal.
  • Funding cost: NBFCs depend on bank and market borrowing.
  • Repeated delays: The IPO has waited since 2024.

Promoters and Shareholders

The Munjal family promotes the company. One aggregator lists these approximate stakes:

ShareholderApprox. stake
Hero MotoCorp~41%
Bahadur Chand Investments (Munjal family)~20%
Otter Ltd~10%
Others~28%

Treat these as estimates. The final prospectus will give the exact table.

Fresh Issue vs OFS

The fresh issue puts money into the company. Hero plans to use it to boost capital for future lending. The OFS pays existing investors. The ₹1,568 crore OFS is by investor shareholders. A bigger fresh issue is better for the business.

GMP and Listing Expectations

No GMP exists today. GMP quotes only start once the IPO is live. No listing date is confirmed either. Ignore sites that show a GMP now.

Bull Case vs Bear Case

Bull caseBear case
Strong Hero group brandFY26 net loss of ₹226 cr
Large customer baseLoan book shrinking
Fresh capital strengthens lendingHeavy past write-offs
Management reset on riskPeers earn far better returns
Wide reach across IndiaRepeated IPO delays

Should Investors Apply?

It is too early to say. Check these first:

  1. Whether SEBI approval is still valid
  2. Final price band and price-to-book
  3. Fresh issue vs OFS split
  4. FY26 and Q1 FY27 asset quality
  5. Return on equity trend
  6. Market mood on IPO day

If FY27 shows profit returning, the case improves. Until then, the risk is high.
